Terms of Use & Service Agreement.

IMPORTANT NOTICE REGARDING PUBLIC PARKING IN NEW YORK CITY

Spotto is an informational and communication platform that enables drivers to communicate vehicle departure timing and review publicly available municipal parking data. Spotto does NOT own, sell, rent, reserve, license, or claim legal title to public streets, curbside parking, or municipal property. Drivers are solely responsible for verifying and complying with all posted New York City Department of Transportation (NYC DOT), NYPD, and Department of Sanitation regulations.

1. Acceptance of Terms

By downloading, installing, accessing, or using the Spotto NYC mobile application (the "App"), website, APIs, or related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not access or use the Service.

These Terms constitute a legally binding agreement between you and Spotto NYC ("Spotto", "we", "us", or "our").

2. Description of the Service

Spotto provides a mobile platform designed for New York City drivers to:

  • Coordinate peer-to-peer parking departure notifications and arrival ETAs with fellow drivers ("Holds" and "Handoffs");
  • View municipal curb intelligence, including NYC Alternate Side Parking (ASP) sweeping schedules and holiday suspensions;
  • Utilize GPS proximity tools, such as the 15-Foot Fire Hydrant Safety Radar and NYC Ticket Shield™ parking timer;
  • Locate municipal meter rate zones, active meter hours, and private garage listings;
  • Communicate with fellow drivers through ephemeral in-app messaging.

3. Driver Eligibility & Account Registration

To use Spotto, you must:

  • Be at least 18 years of age and possess a valid driver's license in your jurisdiction;
  • Operate a lawfully registered, insured, and inspected motor vehicle;
  • Provide accurate, current, and complete registration information;
  • Maintain the security and confidentiality of your login credentials. You are responsible for all activities that occur under your account.

4. Nature of Parking Holds & City Street Disclaimers

Public Street Spaces: Public curbside parking spots on New York City streets are public property managed by the City of New York. Spotto does not guarantee the availability, reservation, security, or physical condition of any parking space.

Temporary Coordination: When a user creates a "Hold" indicating they are vacating a parking space, this represents an estimated departure window only. Third-party drivers not using the App may lawfully occupy a public space at any time. Spotto users may never physically block traffic, double-park unlawfully, harass third parties, or obstruct the public right-of-way to preserve a public space.

Private Spaces: If coordinating private driveways or commercial garage facilities, you agree to abide by all terms, fees, and conditions set by the private property owner.

5. Safe Driving & Prohibition of Distracted Operation

NEVER USE THE APP WHILE OPERATING A MOVING VEHICLE. You agree to interact with the App only when your vehicle is safely stopped and parked in compliance with all applicable traffic laws, or through hands-free / passenger operation.

You are solely responsible for the safe and lawful operation of your vehicle at all times. Spotto is not liable for any accidents, collisions, injuries, traffic citations, moving violations, or property damage arising from vehicle operation.

6. Parking Summonses, Tickets, and Towing Disclaimer

While Spotto provides tools such as the 15-Foot Fire Hydrant Radar, Alternate Side Parking (ASP) Schedules, and NYC Ticket Shield™ timers based on open municipal data and GPS coordinates:

  • GPS accuracy varies based on hardware, satellite visibility, tall building interference, and weather conditions;
  • Municipal regulations, emergency street closures, temporary construction, film shoots, and tow-away enforcement are subject to unscheduled changes by municipal authorities;
  • Spotto does NOT guarantee immunity from parking summonses, fines, towing, booting, or vehicular damage. You remain 100% solely responsible for physically reading all posted street signs, curb markings, fire hydrants, and payment meters before leaving your vehicle unattended.

7. Community Conduct & Karma Standards

Users agree to conduct themselves with civil parking etiquette, integrity, and respect. You agree NOT to:

  • Post fraudulent, misleading, or non-existent parking holds;
  • Demand unlawful cash payments, extortion, or informal bidding for public curbside access;
  • Harass, intimidate, stalk, or threaten other drivers or community members;
  • Submit false community reports or manipulate driver karma ratings;
  • Reverse engineer, decompile, scrape, or extract data from the Service using automated means.

Violation of community standards may result in immediate suspension, reduction of driver karma, or permanent account termination.

8. Intellectual Property Rights

The Service, including its software, design, logos, graphics, algorithms, Ticket Shield™, and content, is the proprietary property of Spotto NYC and protected by copyright, trademark, and intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for personal, non-commercial purposes on your mobile device.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF MAP OR PARKING DATA, UNINTERRUPTED AVAILABILITY, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPOTTO NYC, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING PARKING FINES, TOWING EXPENSES, VEHICULAR DAMAGE, TRAFFIC CITATIONS, PERSONAL INJURY, LOSS OF TIME, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICE.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.
